These AI Terms supplement the Terms of Service ("Terms") between Plane Software, Inc. ("Plane") and Customer, and govern Customer's use of AI-powered features within the Service ("AI Features," also referred to as "Plane Intelligence").
Capitalized terms not defined in these AI Terms have the meanings given in the Terms.
Plane Intelligence provides AI-powered capabilities within the Service, including content generation, summarization, analysis, agentic task automation, and workflow assistance. AI Features are designed to augment — not replace — human judgment in project management and knowledge management workflows.
AI Features may be available across Plane's deployment configurations (cloud-hosted, self-hosted, and air-gapped), subject to the deployment-specific terms in Section 6 of these AI Terms.
AI Features are powered in part by third-party AI model providers. When Customer uses AI Features on Plane Cloud, Customer inputs (such as text submitted for generation or summarization) are transmitted to these providers for processing. The current list of AI sub-processors is maintained at plane.so/legals/sub-processors.
"AI Input" means the data, prompts, text, and other content that Customer or Authorized Users submit to AI Features.
"AI Output" means the content generated by AI Features in response to AI Input.
Both AI Input and AI Output are treated as Customer Data and are subject to the same ownership, confidentiality, and data processing protections described in the Terms and the DPA.
Plane does not use Customer Data (including AI Input and AI Output) to train, fine-tune, or improve general-purpose AI models — whether Plane's own or those of third-party providers — unless expressly agreed in writing with Customer. This commitment is reflected in Plane's agreements with its AI sub-processors.
Customer Data processed by AI Features is used solely to generate outputs for the requesting Customer's session. AI Input and AI Output are not shared with, used to benefit, or made accessible to other customers.
Plane's agreements with AI sub-processors require that they do not retain Customer Data beyond the time necessary to generate the requested output, except to the extent required by applicable law or for abuse monitoring consistent with their data processing agreements.
AI Features use probabilistic models that may produce output that is inaccurate, incomplete, biased, or unsuitable for Customer's purposes. As stated in Section 5.3 of the Terms, Plane does not warrant the accuracy, completeness, or fitness for purpose of any AI-generated output.
Customer is solely responsible for reviewing, evaluating, and validating all AI Output before relying on it or incorporating it into any decision, communication, or deliverable. AI Features are tools to assist Authorized Users — they are not a substitute for professional judgment.
Customer will not use AI Features for purposes where inaccurate output could cause significant harm, including making automated decisions with legal or similarly significant effects on individuals (such as employment, credit, insurance, housing, education, or law enforcement decisions) without appropriate human oversight. Additional restrictions on AI Feature usage are set forth in the Acceptable Use Policy.
Customer acknowledges that AI Features are intended to be used with appropriate human oversight and agrees to review and evaluate AI Output before relying on it in any decision-making process, particularly where such decisions may have legal or similarly significant effects.
As between the parties, AI Output is part of Customer Data and Customer retains all rights in it to the extent permitted by applicable law, subject to the Terms. Plane does not claim ownership of AI Output generated for Customer.
Customer acknowledges that AI-generated output may not qualify for copyright protection in all jurisdictions due to the absence of human authorship, and that the protectability of AI Output under applicable intellectual property law is uncertain and evolving. Customer should seek independent legal advice if IP protection of AI Output is material to Customer's business.
Plane does not guarantee that AI Output is original or non-infringing. AI models may generate output that is similar to content in their training data or to output generated for other users of the underlying model. Customer is responsible for ensuring that its use of AI Output does not infringe third-party rights.
Plane's indemnification obligations under Section 12.1 of the Terms apply to the Service generally but do not extend to claims arising from AI Output including any modifications, combinations, or reliance on such output. Customer's indemnification obligations under Section 12.2 of the Terms apply to Customer's use of AI Output.
On Plane Cloud, AI Features are provided by Plane through its AI sub-processors. Customer Data is transmitted to these sub-processors as described in Section 2.1. Data processing is governed by the DPA.
On self-hosted deployments, AI Features may connect to third-party AI providers directly from Customer's infrastructure. In this configuration, Plane does not act as an intermediary — Customer Data is transmitted directly between Customer's infrastructure and the AI provider. Customer is responsible for its own relationship with, and compliance with the terms of, the AI provider.
Plane shall not be responsible for the acts or omissions of third-party AI providers integrated by Customer in self-hosted deployments.
On air-gapped deployments, AI Features that require connectivity to external AI providers are not available by default. Customer may configure a locally hosted AI model to enable AI capabilities within the air-gapped environment. In that case, Plane has no access to or visibility into the AI processing, and Customer bears sole responsibility for the configuration, performance, and compliance of the local model.
Plane implements reasonable technical measures designed to promote responsible use of AI Features, including input and output filtering where appropriate. However, no safeguard is foolproof, and Customer remains responsible for monitoring its use of AI Features.
AI regulation is developing rapidly across jurisdictions. Customer is responsible for ensuring that its use of AI Features complies with all laws and regulations applicable to Customer, including emerging AI-specific legislation (such as the EU AI Act). Plane will provide reasonable cooperation to support Customer's compliance efforts but does not guarantee compliance with laws applicable to Customer's specific use case.
Plane will maintain reasonable transparency about how AI Features work, including the identity of AI sub-processors and the general nature of the AI models used. Plane may update its AI sub-processors or the models powering AI Features from time to time, subject to the sub-processor notification process described in the DPA.
Customer shall comply with all applicable export control and economic sanctions laws and regulations and shall not access or use the AI Features in violation of such laws. Customer represents and warrants that it is not located in, organized under the laws of, or ordinarily resident in any jurisdiction subject to comprehensive sanctions, and is not identified on any applicable government restricted party list.
AI Features are a component of the Service and are subject to the same availability commitments described in the SLA for Plane Cloud. However, AI Features depend on third-party AI providers, and Plane is not responsible for outages or degraded performance caused by those providers.
Plane may modify, update, or discontinue AI Features (or specific AI capabilities within the Service) from time to time. If a change materially reduces the core AI functionality available to Customer during a paid Subscription Term, Plane will notify Customer in accordance with Section 2.6 of the Terms.
AI Features designated as Beta Services are subject to Section 2.7 of the Terms. They are provided "as is" without warranty, SLA, or support commitments and may be modified or discontinued at any time.
Plane may update these AI Terms from time to time. Changes are subject to the amendment provisions in Section 16.8 of the Terms.
